Using this website.
Last updated May 2026. Effective for use of outpostvending.co and the related signing + onboarding tools we provide to venue partners. These Terms do not replace the Placement Agreement venue partners sign · that is a separate, more detailed contract.
Acceptance of terms
Welcome. These Terms of Use ("Terms") govern your access to and use of the website at outpostvending.co and any signing, banking, or onboarding tools we provide to venue partners. By using the site you agree to these Terms. If you do not agree, please do not use the site.
These Terms do not replace the Placement Agreement. If you sign a Placement Agreement with Outpost Vending Company, LLC, that agreement governs the placement, operation, and revenue sharing of any vending machine at your venue. In the event of a conflict between these Terms and the Placement Agreement, the Placement Agreement controls.
About us
Outpost Vending Company, LLC is a Nebraska limited liability company operating from Papillion, Nebraska. We place and operate age-verified vending machines for electronic nicotine delivery system (ENDS) products in licensed 21+ venues across the Omaha metropolitan area.
Eligibility
You may use the inquiry form, e-sign agreements, and submit banking information only if you:
- Are at least 21 years of age.
- Have authority to bind the venue you represent (as owner, partner, manager, or duly authorized representative).
- Confirm the venue qualifies for placement under Neb. Rev. Stat. § 28-1429.02: it is either a licensed on-premise liquor establishment that restricts entry to persons 21 years of age or older, or an area not open to the general public (such as a members-only club, workplace, or restricted-access facility).
- Are not prohibited by law from entering into commercial agreements regarding ENDS or tobacco products.
Acceptable use
When using the site you agree not to:
- Submit false, misleading, or impersonating information.
- Submit content you don't have the right to share.
- Attempt to gain unauthorized access to any portion of the site, our infrastructure, or other users' accounts.
- Use automated tools (scrapers, bots) to extract data from the site without our express written permission.
- Interfere with or disrupt the operation of the site.
- Use the site for any unlawful purpose.
Electronic signatures
When you sign a Placement Agreement via the secure signing link we send to you, your electronic signature is legally binding under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Nebraska Uniform Electronic Transactions Act (UETA, Neb. Rev. Stat. § 86-621 et seq.). You may request a paper copy of any document you sign electronically by contacting us.
SMS program
Outpost Vending Company, LLC offers an opt-in SMS program at /sms-opt-in. By submitting that form you consent to receive operational text messages from us about machine status, restocks, commission payments, and service notes.
- Frequency: approximately 2-4 messages per month.
- Cost: message and data rates may apply per your carrier plan. We do not charge you to receive these messages.
- Opt out: reply STOP to any message to be removed. Confirmation will be sent.
- Help: reply HELP for support or email hello@outpostvending.co.
- Carriers: Carriers (AT&T, T-Mobile, Verizon, etc.) are not liable for delayed or undelivered messages.
- No marketing: the SMS program is operational/transactional. We do not send promotional messages or third-party marketing.
Our outbound text path verifies that the recipient has actively opted in before any message is sent. If you have not consented at /sms-opt-in, you will not receive a text from us.
Submissions and feedback
Any information you submit through the inquiry form or share with us during the pitch process (other than personally identifiable information, which is handled per our Privacy Policy) may be used by us to improve our services. We will not share venue-identifying details publicly without your consent.
Intellectual property
All content on this site · text, graphics, logos, the Outpost Vending name, trademarks, and software · is the property of Outpost Vending Company, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.
Third-party services
The site uses third-party services (listed in our Privacy Policy) to operate. We are not responsible for the practices of those third parties. Use of those services through our site is also subject to their respective terms.
Disclaimers
The site and all content, information, and services provided through it are provided "as is" and "as available," without warranties of any kind, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted or error-free.
Earnings projections, foot-traffic estimates, and commission forecasts presented on the site or in proposal materials are estimates based on comparable venues and are not guarantees. Actual results will vary based on venue-specific factors.
Limitation of liability
To the maximum extent permitted by law, Outpost Vending Company, LLC, its owners, and its agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the site or any services provided through it, even if we have been advised of the possibility of such damages. Our total liability arising from or relating to these terms will not exceed one hundred dollars ($100) or the amount you paid to us in the twelve (12) months before the claim arose, whichever is greater.
Liability under any signed Placement Agreement is governed by the indemnification and insurance provisions of that agreement, not this limitation.
Indemnification
You agree to indemnify, defend, and hold harmless Outpost Vending Company, LLC and its owners from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) information you submit through the site that is false or that you did not have the right to share, or (c) your violation of any applicable law.
Termination
We may suspend or terminate your access to the site at any time, with or without notice, for any reason, including violation of these Terms. The disclaimers, limitation of liability, indemnification, and governing law provisions will survive any termination.
Governing law
These Terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the site will be resolved exclusively in the state or federal courts located in Sarpy or Douglas County, Nebraska, and you consent to the personal jurisdiction of those courts.
Changes
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the current version. Material changes will be communicated to active venue partners by email at least thirty (30) days before they take effect. Continued use of the site after the effective date constitutes acceptance of the updated Terms.
